1. Purpose and Legislative Framework

MAT was inserted into the Income Tax Act by Act No. 10 of 2025 and later amended by Act No. 17 of 2025 . The provision establishes a minimum tax burden by requiring a person or partnership to pay, in addition to income tax, a turnover-based charge where that charge exceeds the income-tax liability. The mechanism operates through two layers: a substantive charge under section 14A and a rate cap under Charging Schedule Paragraph 8 .

2. Chargeable Event and Base

MAT applies to any person or partnership carrying on business in Zambia . The tax is computed on total turnover, meaning the gross value of consideration from all business activities before deductions . This distinguishes MAT from income tax, which is assessed on net chargeable income after allowable deductions .

3. Rate and Dual-Track Liability

The maximum MAT rate is 1% per annum . The liability runs in parallel with income tax: a taxpayer is subject to both computations for the same charge year . The result is that the taxpayer must ultimately bear the higher of the two liabilities, with the lower amount converted into a credit rather than a refund .

4. Credit Mechanism

If MAT paid exceeds the income-tax liability for the charge year, the excess operates as a credit against income tax . The credit must be utilized within five subsequent charge years; any unused portion expires after that period . This creates a use-it-or-lose-it dynamic and prevents indefinite deferral .

5. Exclusions

MAT does not apply to persons or partnerships already subject to presumptive tax or turnover tax . In addition, railway-sector special purpose vehicles enjoy a twelve-year exclusion from the first year of operation of a public-private partnership project . The railway exclusion was added by the 2025 amendment and aligns with the extended concessionary rate schedule applicable to those projects .

6. Administration

The Minister has authority to make regulations covering assessment, collection, recovery, and procedural matters . Until such regulations are published, administration follows existing income-tax assessment and provisional-payment frameworks.

7. Practical Effect

For most taxpayers, MAT functions as a turnover-based floor . It is most relevant where low margins or high deductions produce a low income-tax liability relative to turnover. For high-margin businesses, income tax will usually exceed MAT and the provision has no additional effect. The credit mechanism ensures that the total tax burden never exceeds the income-tax liability when MAT is the higher amount .

9. Open Questions

Several interpretative issues remain pending guidance, including the treatment of VAT-inclusive turnover, barter transactions, discontinued operations, and related-party revenue. The priority rule for utilizing multiple MAT credits is not addressed in the Act . Regulatory details under section 14A(6) are also awaited .
